SOL Sound of Life Media LLC Terms and Conditions of Service

Article 1 - General Scope and Object of the Agreement

These Terms and Conditions (T&C) govern the relationship between you, as a client, and SOL Sound of Life Media LLC (“Company”) when interacting through our websites www.soundoflifemedia.com, www.soltv.lightcast.com, www.soundoflife.media, our SOL mobile application, and all associated services, including but not limited to SOL TV, SOL Shopping Network, SOL Art NFTs, SOL Publishing, and other related business lines.

By navigating and interacting on our websites and/or application, you expressly agree to these T&C without reservation.

SOL Sound of Life Media LLC reserves the right to modify or adapt these T&C at any time, without prior notice. These T&C become effective immediately upon publication on our websites and/or application or upon being sent to you by any means.

Please read these T&C carefully before using, interacting with, or accessing our websites, application, or any other services provided by SOL Sound of Life Media LLC.

By agreeing to these T&C, you affirm that you are at least the legal age of majority in your country, state, or province of residence. If you are a minor, you confirm that you have the necessary permissions from your legal representatives to use our services. If you have not reached the legal age of majority, you must not use our Services.

You may not use our services, websites, or application for any illegal or unauthorized purposes, including but not limited to infringing on the intellectual property rights of others, distributing harmful software, or engaging in activities prohibited by the Digital Millennium Copyright Act (DMCA), General Data Protection Regulation (GDPR), or any other applicable law.

You must not attempt to hack, alter, or compromise the functionality of our services, send viruses, or engage in any activity that may compromise the integrity of our services.


Article 2 - Content and Intellectual Property

Some content provided by our Services, including SOL TV, SOL Shopping Network, and SOL Art NFTs, may be accessible for free, while other content may require login credentials or a valid paid subscription (In-App Purchases or restricted content).

If access to certain content requires registration, please refer to Article 4 - Registration Process.

All content on our Services is for personal, non-commercial use. This includes digital media such as music available on www.soundoflifemedia.com, TV shows and broadcasts available on www.soltv.lightcast.com, and corporate content on www.soundoflife.media, as well as NFTs and books provided by SOL Publishing. All materials on our Services are protected by copyright and/or intellectual property rights, in accordance with U.S. Copyright Law, the Berne Convention, and other applicable international intellectual property agreements.

Additionally, some content may be protected by trademarks, patents, trade secrets, or other proprietary rights.

Users are prohibited from reproducing any content, logos, or other elements available on our Services. Users may not modify, copy, translate, sell, or exploit any of the content (text, images, audio, video, NFTs, books, etc.) found on our Services or through third-party platforms like OpenSea, whether for free or for profit, without express permission from SOL Sound of Life Media LLC or the respective rights holders.


Article 3 - Subscription and Payment (Duration, Recurring Payment, Auto-Renewal)

Price Subscription fees for SOL TV, SOL Shopping Network, and other content are displayed before completing the order process.

Tax regulations, as managed by Apple Store and Google Play, will apply to your purchases. Any tax changes will be applied directly to your subscription fees, in accordance with local and international tax regulations such as the Value-Added Tax (VAT) laws where applicable.

We reserve the right to adjust fees at any time without prior notice. If you disagree with any fee changes, you may cancel your subscription before the renewal payment occurs.

Payment Methods Payment options will be shown during the subscription process and may vary. Payment processing is handled by third-party providers, and your banking or credit card details are never stored by our websites or application, in compliance with Payment Card Industry Data Security Standard (PCI DSS).

In-App Purchases (IAP) If you subscribe through a third party (e.g., Apple App Store, Google Play), these T&C may not apply, and your contract will be with that third party. Any issues with IAP must be addressed directly with the respective platform, and refunds will be subject to the policies of the Apple App Store, Google Play, or other applicable platforms.

The length of Subscriptions varies and is selected. by the user: Month to Month, or Yearly.

Article 4 - Registration Process

We may require you to register to access parts or all of our Services, including SOL TV, SOL Shopping Network, SOL Art NFTs, and SOL Publishing offerings on www.soundoflifemedia.com, www.soltv.lightcast.com, and www.soundoflife.media.

Registration is for individual use only, and sharing credentials is prohibited. If we detect shared accounts, we may cancel or suspend your access.

Should you believe your credentials have been compromised, please notify us immediately at support@soundoflife.media.

Third-Party Authentication You may also log in via third-party services like Apple, Facebook, or Google. Please review the privacy policies of these third-party providers, as SOL Sound of Life Media LLC does not control their handling of your data. Your use of third-party authentication is governed by the respective terms of service for these providers, and you should be aware that any data shared may be subject to the third party’s privacy policies, in accordance with GDPR and other applicable privacy laws.


Article 5 - SOL TV Content

SOL TV, accessible at www.soltv.lightcast.com, offers a variety of digital media, including video content, live broadcasts, and pay-per-view (PPV) services. Access to SOL TV may be included in your general subscription or may require additional In-App Purchases (IAP).

All SOL TV content is for personal, non-commercial use only. Redistribution or unauthorized use of SOL TV content, including but not limited to copying, broadcasting, or sharing, is prohibited and may be subject to legal action under U.S. Copyright Law and other applicable intellectual property regulations.

We reserve the right to modify, add, or remove content on SOL TV without prior notice, and we make no warranties regarding the availability of specific content.


Article 6 - SOL Shopping Network

The SOL Shopping Network, available through SOL TV and other platforms, offers a variety of products for purchase. All transactions are governed by these T&C and the policies of the applicable payment processing platforms (e.g., Apple App Store, Google Play, or other third-party services).

Prices and availability of items on the SOL Shopping Network are subject to change without prior notice. You agree to pay all applicable fees for any purchases made through the SOL Shopping Network, and refunds or returns will be subject to the policies of the specific platform through which you made the purchase.

Any claims for misprinted/damaged/defective items must be submitted within 30 days after the product has been received. For packages lost in transit, all claims must be submitted no later than 30 days after the estimated delivery date. Claims deemed an error on our part are covered at our expense.

If you or your customers notice an issue on the products or anything else on the order, please submit a problem report.

The return address is set by default to the Printful facility. When we receive a returned shipment, an automated email notification will be sent to you. Unclaimed returns get donated to charity after 30 days. If Printful's facility isn't used as the return address, you would become liable for any returned shipments you receive.

Wrong Address - If you or your end customer provide an address that is considered insufficient by the courier, the shipment will be returned to our facility. You will be liable for reshipment costs once we have confirmed an updated address with you (if and as applicable).

Unclaimed - Shipments that go unclaimed are returned to our facility and you will be liable for the cost of a reshipment to yourself or your end customer (if and as applicable).

You hereby agree that any returned orders due to the wrong shipping address or a failure to claim the shipment won’t be available for reshipping and will be donated to charity at your cost (without us issuing a refund).

SOL Shopping Newtork, and SOL Culture Shop does not accept returns of sealed goods, such as but not limited to face masks, which are not suitable for return due to health or hygiene reasons. You hereby agree that any returned orders with face masks won’t be available for reshipping and will be disposed of.

Returned by Customer - It is best to advise your end customers to contact you before returning any products. Except for Customers residing in Brazil, we do not refund orders for buyer’s remorse. Returns for products, face masks, as well as size exchanges are to be offered at your expense and discretion. If you choose to accept returns or offer size exchanges to your end customers, you would need to place a new order at your expense for a face mask or a product in another size. Customers residing in Brazil and regretting a purchase must contact our Customer Service and express their will to return the item within 7 consecutive days after receiving it, providing a picture of the item. The withdrawal request will undergo an evaluation to verify whether the product was used or destroyed, even if partial. In these cases, a refund will not be possible.

Notification for EU consumers: According to Article 16(c) and (e) of the Directive 2011/83/EU of the European Parliament and of the Council of 25 October 2011 on consumer rights, the right of withdrawal may not be provided for:

1. the supply of goods that are made to the consumer's specifications or are clearly personalized;
2. sealed goods which were unsealed after delivery and thus aren't suitable for return due to health protection or hygiene reasons,

therefore Printful reserves rights to refuse returns at its sole discretion.

This Policy shall be governed and interpreted in accordance with the English language, regardless of any translations made for any purpose whatsoever.


Article 7 - SOL Art NFTs

SOL Sound of Life Media LLC offers SOL Art NFTs through third-party platforms such as OpenSea. Ownership and transactions of NFTs are governed by the terms of the respective platforms and applicable laws, including blockchain-related regulations.

You are responsible for understanding the terms of service, privacy policies, and transaction processes of these third-party platforms. SOL Sound of Life Media LLC is not liable for any issues arising from your use of OpenSea or similar platforms, including failed transactions, breaches of security, or the market value of NFTs.

By purchasing, selling, or interacting with SOL Art NFTs, you agree to comply with all applicable laws, including anti-money laundering (AML) and know your customer (KYC) regulations, as well as the third-party terms of the marketplace.


Article 8 - SOL Publishing

SOL Publishing offers books and eBooks for purchase and access through the SOL Media platform and related websites. All intellectual property rights in these works belong to SOL Sound of Life Media LLC or its licensors, and are protected under U.S. Copyright Law and applicable international treaties such as the Berne Convention.

Users are prohibited from copying, distributing, or otherwise reproducing any of the published materials without the express written consent of the copyright holder.


Article 9 - Warranties

The content provided by our Services, including SOL TV, SOL Shopping Network, SOL Art NFTs, and SOL Publishing, is delivered "as is" and "as available." We cannot guarantee its accuracy or completeness, and you use our Services at your own risk. We disclaim any implied warranties to the fullest extent permitted by applicable law, including those under the Uniform Commercial Code (UCC).


Article 10 - Content Moderation and User-Generated Content

If you upload, post, or submit content on our Services, you affirm that you have the legal rights to do so.

Content that is abusive, illegal, or violates the rights of others is strictly prohibited. Hate speech, malware, impersonation, and harassment are not tolerated. Content must comply with applicable laws, including but not limited to the Communications Decency Act (CDA) and COPPA (Children’s Online Privacy Protection Act).

We reserve the right to modify or remove any content without notice or compensation if it violates these rules.


Article 11 - Liability

SOL Sound of Life Media LLC is not liable for network disruptions, viruses, fraudulent use of payment methods, or any technical issues. This includes disruptions affecting third-party services like OpenSea and app stores such as Apple and Google Play. Liability exclusions apply to the fullest extent permitted under applicable law, including but not limited to tort law and contract law.


Article 12 - Indemnification

You agree to indemnify and hold SOL Sound of Life Media LLC harmless from any claims or demands, including attorney’s fees, arising from your breach of these T&C or any interaction with third-party services such as OpenSea. Indemnification provisions will be enforced under the applicable laws governing the jurisdiction in which SOL Sound of Life Media LLC operates.


Article 13 - Severability

If any provision of these T&C is deemed unlawful or unenforceable, it will be severed from the remaining provisions, which will remain in full effect, in accordance with contract law principles.


Article 14 - Termination

These T&C remain in effect unless terminated by either party. You may stop using our services at any time. SOL Sound of Life Media LLC reserves the right to terminate this agreement at any time without prior notice for any violations of these T&C or applicable laws.


Article 15 - Governing Law and Venue

These T&C are governed by the laws of the United States of America, and any disputes will be addressed in the applicable jurisdiction within the U.S., in accordance with Federal and State laws.

Cancellation and Refunds

Cancellations apply to future charges, not the current billing period. Refunds may be available based on your location and local legislation.

For IAP refunds or cancellations, please refer to the terms of the respective platform, such as Apple or Google.

For NFT-related transactions, refunds, or cancellations, please consult OpenSea’s refund policies.
